Terms and Conditions

This Agreement is entered into as of [Insert Date] by and between:

• BLK.$.U.P.A.M.A.N., a business entity organized and existing under the laws of [Insert State], with its principal address at 338 Forbell Street Brooklyn, N.Y., 11208 ("Co-Venturer"), and
   
• Far Rockaway/Inwood Chapter of the National Action Network ("Beneficiary"), with its principal address at 330 Beach 67th Street Arverne, N.Y., 11692.
   

Recitals:
WHEREAS, Co-Venturer desires to sell merchandise online and in person at the March on Wall Street on August 28, 2025 and throughout the remainder of the fiscal year;
WHEREAS, Co-Venturer has agreed to donate ten percent (10%) of gross proceeds from such sales to the Beneficiary;
WHEREAS, the parties desire to set forth their mutual understanding in writing;

NOW, THEREFORE, in consideration of the mutual covenants herein contained, the parties agree as follows:

The purpose of this Agreement is to establish the terms under which Co-Venturer will sell merchandise and donate ten percent (10%) of gross proceeds to the Beneficiary.

This Agreement shall commence on the date signed by both parties and terminate at the close of the fiscal year ending August 1, 2026, unless earlier terminated as provided herein.

Co-Venturer will sell approved merchandise through online platforms and at in-person events, including the March on Wall Street on August 28, 2025.

Co-Venturer agrees to donate 10% of gross proceeds from merchandise sales to Beneficiary, with payment to be made quarterly and accompanied by a written sales report.

Beneficiary grants Co-Venturer the limited, non-exclusive right to use Beneficiary’s name and logo solely for marketing and promotion of merchandise under this Agreement.

Either party may terminate this Agreement upon thirty (30) days written notice to the other. Upon termination, Co-Venturer will remit any outstanding donation amounts within fifteen (15) days.

This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State].

A portion of proceeds from certain sales (including co-venturer sales with BLK.$.U.P.A.M.A.N.) will be donated to the Far Rockaway/Inwood Chapter of the National Action Network. For the March on Wall Street 2025 campaign and the remainder of the fiscal year, 10% of gross proceeds will be donated as agreed.

All content, including text, images, designs, and logos, are owned by or licensed to the National Action Network Freedom Supply. Unauthorized reproduction, adaptation, distribution, or commercial use is prohibited without prior written consent.

You agree not to engage in unlawful conduct, hate speech, harassment, spam, or the promotion of illegal activities while interacting with our platforms. We may disable or terminate accounts for violations.

To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of our services.

We reserve the right to modify these Terms and Conditions at any time. Updated versions will be posted on our website with the effective date.
